1. Scope
These Terms & Conditions apply to wholesale quotations, samples, custom production, and related services provided by Palterwear LLC. Any quotation, pro forma invoice, purchase order acceptance, or order confirmation may include additional project-specific terms that form part of the agreement.
2. Quotations
Quotes are based on the specifications, quantities, artwork, destination, and other information supplied by the customer. Pricing may change if specifications, quantities, materials, shipping destinations, exchange rates, duties, freight costs, or other material inputs change before an order is confirmed.
3. Minimum Order Quantity
Unless otherwise stated in writing, the standard minimum order quantity is 500 units per size and specification. Different sizes, materials, constructions, or print setups may be treated as separate specifications for MOQ and pricing purposes.
4. Samples and Proofs
Digital mockups are provided for review before production where applicable. Physical samples may be available as a Showcase Sample Pack or a custom pre-production prototype. Sample charges, where applicable, are described in the quote or invoice and may be credited toward a subsequent bulk order as stated at the time of quotation.
5. Customer Approval
The customer is responsible for reviewing and approving dimensions, materials, colors, artwork, spelling, placement, print specifications, and other production details before bulk production begins. Production based on an approved proof, sample, or specification will be considered authorized by the customer.
6. Artwork and Intellectual Property
The customer represents that it owns or has permission to use all logos, trademarks, artwork, designs, text, and other materials supplied to Palterwear for production. The customer is responsible for claims arising from unauthorized use of third-party intellectual property supplied by the customer.
7. Production Tolerances
Custom textile and sewn products are subject to normal manufacturing tolerances. Minor variations in dimensions, fabric texture, shade, stitching, print position, print density, hardware appearance, or other production characteristics may occur within commercially reasonable limits.
8. Lead Times
Sample and production lead times are estimates unless expressly guaranteed in writing. Typical sample turnaround is approximately 5–7 business days and bulk production approximately 2–4 weeks after final approval and any required payment. Delays caused by customer revisions, material availability, force majeure, customs, carriers, or other events beyond reasonable control may extend these timelines.
9. Payment
Payment terms will be stated in the quotation, invoice, or order confirmation. Production may not begin until required deposits, setup fees, sample fees, or other agreed payments have been received.
10. Delivered Duty Paid (DDP) Shipping
Where a quotation is stated as DDP, the quoted price includes the agreed door-to-door freight, customs clearance, and import duties for the specified destination based on the information available at the time of quotation. Any charges resulting from incorrect destination information, customer-requested changes, storage, failed delivery, special handling, or circumstances outside the agreed scope may be charged separately.
11. Delivery
Delivery dates are estimates unless expressly guaranteed in writing. Risk associated with customer-caused delivery delays, inaccessible delivery locations, incorrect addresses, or refusal of delivery may remain with the customer.
12. Cancellations and Changes
Custom orders may not be cancellable once materials have been purchased, tooling or print setup has begun, or production has started. Customer-requested changes after approval may result in additional charges and revised lead times.
13. Inspection and Claims
Customers should inspect delivered goods promptly. Any claim concerning shortage, visible damage, or material non-conformity should be reported to Palterwear as soon as reasonably possible with supporting photographs and order details. We may request additional evidence before determining an appropriate remedy.
14. Remedies
Where goods are confirmed to be materially defective or materially inconsistent with the approved specification, Palterwear may, as appropriate, repair, replace, rework, credit, or refund the affected portion of the order. Remedies will be assessed based on the circumstances of the claim.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Palterwear will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from a quotation, sample, order, delay, or delivery. Where liability cannot be excluded, it will be limited to the amount paid for the affected goods or services, unless applicable law requires otherwise.
16. Force Majeure
Palterwear will not be responsible for delay or failure caused by events beyond reasonable control, including natural disasters, war, labor disputes, carrier disruption, port congestion, government action, customs delays, shortages, epidemics, power failures, or material supply interruptions.
17. Website Information
Product descriptions, examples, images, lead times, and other website content are provided for general information and may be updated without notice. Final specifications and commercial terms are those stated in the applicable quotation, proof, invoice, or order confirmation.
